With this program, do I just need to DL the tracks that are like at the
USpits?  How does this thing work, I have my GPL, NR3, NR2 (lost my BGN pack
for it though somewhere)...  But they are boxed up and in storage, do I need
to go and get them to use this converter?  I have GPL installed right now,
with a few GPL tracks, they just simply download and a freeware program
installed them, is this what Noonans program does with the tracks from the
pits?  Or does it combine those files with files of the cd or something?

In the >>Sim Downloads>>Nascar/Tracks>>  section of The Pits, the tracks
from the free converter are posted as separate, complete tracks. If you
download those individual tracks, then you don't need to convert them. Or
you can download the demo converter and convert the tracks yourself. It
works like the full converter. You don't need the original games installed
on your computer. You should be able to convert from the CD. But I've heard
some people have had trouble and had to copy the tracks folder from the CD
to their Hard Drive to get the converter to see them. So, yes you will need
to find the old games to convert tracks to NR03.

The converter is not a "generic" converter. A custom conversion script is
required for each track. So you will only be able to convert those tracks
which DaveN has worked on. The track formats are different enough that there
is a ton of work required to convert most tracks.
