Perhaps you could ask Geoff.C. as he may be the only person who has
actually seen it running. (GPII that is....it hasn't been released yet)

Well, GP2 isnt out yet but there will be many differences for sure.
The ones that will show more are the graphical ones, check the group
alt.binaries.autos.simulators for two screen shots I u/l which show
the differences at the same location in the Monaco track - The
"Poitiers" curve (F1GP and GP2).

There will be for sure many others improvements like a better physical
model for the car behavour, improved AI for the computer cars ...

<here is a rumor BTW>
...Vastly improved opponent AI includes modelling of their racing
style according to the drivers personalities. Aggressive or passive
driving, consideration or impatience and dirty tricks are just some of
the many traits modelled. ...

  COMMENT: This will be very exciting if it is true, and will bring a
whole new interest to the game and will keep it fun to play for a long
time.

... better sound, better replay facility, driving under changing
weather conditions, mechanical failures, and much more for sure which
only Geoff Crammond and his team know at the moment.

Lately Geoff Crammond commented on the state of the game saying that
among other things that

"... (GP2) has involved a lot of R&D both in terms of graphics and the
simulator. I have had significant input from F1 engineers and believe
I have achieved my objective of expanding the scope of the simulator
while sticking to the principle that it should be believable,drivable
and exciting.
..."

An important thing that youll have to take in account is that youll
need a better machine to play GP2 than the one you used for F1GP. All
those graphics and modelling enhancements will eat lots of CPU power,
so lets hope that the game is well optimized so that many of us can
play it even with some features off.

The release date is unknown for the moment but Ive heard it could be
in late February (24rd), though it is not certain.
